1. Program Overview

The Gloomy Affiliate Program allows approved individuals to promote Gloomy's products through authorized referral links and discount codes in exchange for commissions on qualifying purchases.

Participation is subject to these Terms & Conditions and any additional written program instructions provided by Gloomy.

2. Eligibility

Applicants must:

• Be at least 18 years old.

• Reside in the United States or Canada.

• Have at least 500 social media followers.

• Provide accurate registration information.

• Agree to these Terms & Conditions.

Gloomy reviews applications manually and may approve or decline applicants at its discretion, subject to applicable law.

3. Affiliate Commissions

Approved affiliates earn 10% commission on qualifying referred purchases.

Commissions are calculated on the eligible product subtotal after applicable discounts, excluding shipping, taxes, duties, gift cards, refunded items, canceled orders, chargebacks, and fraudulent transactions.

Affiliates may not earn commissions from their own purchases or manipulate referrals to generate unearned commissions.

4. Customer Discounts

Affiliates may provide customers with an authorized 10% discount using their assigned referral link or discount code.

The affiliate discount may be combined with Gloomy's free-shipping offer on eligible orders of X amount, subject to the offer's requirements.

Combining affiliate discounts with other promotions is permitted only when specifically allowed by Gloomy.

5. Referral Tracking

Gloomy uses a 30-day referral tracking window.

Referral commissions are subject to successful tracking, order eligibility, and applicable attribution rules.

When multiple affiliate referrals are associated with the same purchase, the last eligible affiliate referral generally receives credit.

Gloomy cannot guarantee tracking when customers block cookies, change devices, or otherwise interfere with referral attribution.

6. Commission Review

Commissions are subject to a 30-day review period following the qualifying purchase.

Gloomy may withhold approval while reviewing refunds, cancellations, chargebacks, suspected fraud, or other eligibility concerns.

7. Payouts

Approved affiliate commissions are paid monthly once an affiliate's eligible balance reaches $25 USD.

Balances below $25 carry forward to subsequent payout periods.

Payments are made through a payment method supported and approved by Gloomy. Available methods may vary by country, provider, and account eligibility.

Affiliates are responsible for providing accurate payment information.

8. Taxes

Affiliates are responsible for their own income taxes and applicable tax obligations.

Gloomy may request appropriate tax documentation and will comply with applicable withholding and information-reporting requirements.

Payments may be delayed when legally required documentation has not been provided.

9. Promotional Content

Affiliates may create original content promoting Gloomy, provided the content is lawful, truthful, and consistent with these Terms.

There is no mandatory posting frequency.

Affiliates must not make misleading claims about Gloomy's products, pricing, shipping, or business operations.

10. Advertising and Promotional Restrictions

Unless Gloomy provides prior written authorization, affiliates may not:

• Run paid advertisements using affiliate links or codes.

• Bid on Gloomy's brand name or confusingly similar search terms.

• Impersonate Gloomy or its representatives.

• Publish unauthorized coupons on coupon-sharing websites.

• Send unsolicited promotional messages or spam.

• Use fake engagement, fraudulent traffic, or deceptive referral methods.

• Engage in prohibited self-referrals.

11. Disclosure Requirements

Affiliates must clearly disclose their relationship with Gloomy whenever promoting products in a manner requiring disclosure.

Disclosures must comply with applicable U.S. Federal Trade Commission requirements and relevant Canadian advertising rules.

Acceptable disclosures may include statements such as:

• "I earn a commission from qualifying purchases."

• "Affiliate link, I may earn a commission."

• "Ad" or "Paid partnership," where appropriate.

Disclosures must be clear, noticeable, and placed appropriately within the promotional content.

12. Brand Representation

Gloomy is a horror-inspired apparel brand.

Affiliates may share fictional horror, gothic, and dark creative content consistent with the brand's identity.

However, affiliates may not use Gloomy's name or products in connection with unlawful activity, threats, discriminatory harassment, or deliberately misleading representations.

13. Intellectual Property

Gloomy retains ownership of its trademarks, logos, product images, and other proprietary brand materials.

Affiliates receive limited permission to use approved materials solely to promote Gloomy while participating in the program.

This permission ends when their participation terminates.

14. Affiliate-Created Content

Affiliates retain ownership of their original creative content.

Gloomy will request permission before reposting affiliate-created content on its organic marketing channels.

Using affiliate content in paid advertising requires separate authorization or agreement.

15. Free Products and PR Packages

Acceptance into the affiliate program does not guarantee free merchandise, product samples, PR packages, or paid sponsorship opportunities.

Gloomy may offer these opportunities selectively and at its discretion.

Additional terms may apply to individual collaborations.

16. Independent Contractor Relationship

Affiliates participate as independent contractors and are not employees, agents, or legal representatives of Gloomy.

Participation does not create an employment relationship, partnership, or joint venture.

Affiliates are responsible for their own business expenses and obligations.

17. Competing Brands

Affiliates may promote or collaborate with competing apparel brands, provided they do not misuse Gloomy's confidential information or intellectual property.

18. Inactivity

Gloomy may review affiliate accounts after six consecutive months of inactivity.

Inactive accounts may be suspended or terminated after review.

19. Confidentiality

Affiliates must not disclose confidential business information received through the program without authorization.

Publicly available information and independently developed information are not considered confidential solely because of participation in the program.

20. Suspension and Termination

Gloomy may suspend or terminate an affiliate account for violations of these Terms, fraud, misuse of the program, or other legitimate business reasons, subject to applicable law.

Affiliates may discontinue participation by contacting Gloomy.

Valid, approved commissions earned before termination remain payable under the applicable payout terms. Fraudulent or otherwise ineligible commissions may be rejected.

21. Changes to the Program

Gloomy may modify commission rates, promotional rules, eligibility criteria, or other program terms.

Gloomy will provide at least 14 days' advance notice of material changes, except where immediate action is reasonably necessary for legal compliance, security, or fraud prevention.

Changes will not retroactively reduce commissions already validly earned.

22. Limitation of Liability

To the extent permitted by applicable law, Gloomy is not liable for indirect or consequential losses arising from participation in the program.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

23. Governing Law and Disputes

These Terms are governed by the laws of the State of Hawaii, United States, subject to any mandatory laws that apply to an affiliate.

The parties agree to attempt good-faith informal resolution of disputes before initiating formal legal proceedings.

Where legally permitted, disputes will be handled in the appropriate courts located in Hawaii.

24. Acceptance

By applying to or participating in the Gloomy Affiliate Program, the applicant acknowledges that they have read, understood, and agreed to these Terms & Conditions.
